Founding the Company

In cooperation with the notary’s office, we offer, in addition to the sale of ready-made companies, also help and support in establishing new companies. If you do not know how to establish a limited liability company yourself and are afraid of your proposal being rejected by the registration court, or if you have already submitted such a proposal and the court has rejected or denied it, use our services. This way, you will avoid complications when submitting your proposals and have the company registered relatively quickly!

We offer this service to both natural and legal persons with a 100% success guarantee of registration in the commercial register. If necessary, we can secure a temporary or even a permanent registered office for the new company.

For founding a Limited Liability Company (s. r. o.) it is necessary

to conclude a social contract in the form of a notarial deed
to deposit capital (in accordance with the new Act there is the possibility of choosing the amount of the registered capital from CZK 1 and upwards)
to obtain a trade licence
to register a new company in the Commercial Register
to register a new company with the competent financial authority

The disadvantages of this service

  • the client provides the company’s capital from his or her own funds (in accordance with the new Act there is the possibility to choose the amount of the registered capital from CZK 1 upwards and, additionally, in the case of any interest, we can lend the company’s capital in the amount in accordance with the agreement reached
  • with our registered capital and at that price it is only possible to found a company with one executive and one partner. Additional partners can be added on the basis of an agreement and at individually established prices
  • compared to purchasing a ready-made company the length of the period for founding the company is cca 2 weeks

For founding a Limited Liability Company (s. r. o.) it is necessary

providing basic advice on founding a company (we will check whether your requirements are in compliance with applicable law and recommend any necessary adjustments to them)
the preparation of all the necessary documentation, that has to be attached to the proposal for registration in the Commercial Register – we will arrange all these administrative details on your behalf, including the preparation of the requisite notarial deed
organising all the time-consuming and demanding communication with the relevant entities, which should not be overlooked during the process of founding the company (e.g. the Commercial Register and the Trade Licencing Office)
the preparation of the proposal for founding the company the company and listing it in the Commercial Register
guaranteeing the utilization of the correct versions of all the documents and administrative perfection from the first meeting until the completion of the registration of the Limited Liability Company (LLC) in the relevant Commercial Register
after the incorporation of the company in the Commercial Register, if the implementation of an additional service would be of interest, we are willing to prepare, on your behalf, you the necessary documents for the immediate registration of the new company with the relevant tax authority!

How to process your order:

Select one of the variant options for founding the company with our capital or yours and make your enquiry on-line.

You will receive an order form, in your inbox, which needs to be completed in accordance with the instructions and then sent back to our e-mail address
After sending the order form an employee of our company will contact you by phone or by e-mail to agree with you regarding all the details
Together we will agree on making an appointment at the cooperating NOTARY, where payment for our services is made in cash against the handing-over of the documents (or payment can be conducted based on an advance invoice)
Dealing with the Notary and the conclusion of a social contract in the form of a notarial deed takes apx. one hour and then the company is founded. Either the owner and the Executive Director of the company or his/her appointed representatives is the client. In the event that you borrow the registered capital from us, nominally the company will be founded in the name of our employees and will subsequently be transferred to the client as a standard ready-made company.
In the event that you are depositing the company’s capital yourself, you will select the bank and deposit the registered capital to the account of the newly-founded company and deliver the confirmation of this transaction to us. In the case of loaned capital it is deposited by our company.
Our employees will arrange for a trade licence with 80 free trades for the founded company and, for an additional fee, possibly also for craft or licenced trades. The client can also arrange for these extra trades himself/herself.
Filing the proposal to the Commercial Register by the responsible employee of our company.
After apx. 5 to 10 working days we shall notify you that your desired changes have been entered in the Commercial Register and that you can pick up the new excerpt from the Commercial Register.
Transfer of the company to the client if the company’s capital was borrowed from our company.

In the case of your interest in this service, we will require the following information

the Company (name and the registered office)
the scope of its business
the name, surname, identity number and address of the top executives of the company
the manner in which the executives act on behalf of the company
the identification of the partners (name, surname, identity number and domicile of an individual or a company ID and the Registered Office of the company)
the identification of the deposit administrator (the founder or one of the founders must be indicated)
the amount of the registered capital and the amount of the contribution of each partner; the method and the period of the repayment of the deposit
other information required in accordance with the Commercial Code

The documents that we need from you

The Executive Director:

  • An excerpt, not more than 2 months old, from the criminal record without an entry, from the Czech Republic and from the place of residence and from the State of which the person is a citizen

  • An identity card or a passport

  • Credible proof of a place of residence (only relevant for non-residents)

Trades:

  • A responsible representative – since the 1st August 2006 a legal entity does not need a responsible representative in regard to free trades

  • The Trade Act defines the conditions and the requirements for craft and licensed trades

  • An excerpt from the Land Register concerning the construction of a headquarters

  • The consent of the landowner to the location of the Registered Office of the company or to a lease contract

The Registered Address:

  • An excerpt, not more than 2 months old, from the Land Register in regard to the new headquarters

  • The consent of the property-owner to the location of the Registered Office of the company (the property-owner’s signature must be authenticated)

The partner:

  • An identity card or a passport and credible proof of the partner’s place of residence
  • If the partner is a legal entity, a certificate of incorporation or similar documentation for foreign companies

The validation of documents

  • All the documents required must be submitted as originals or as certified copies in the Czech or Slovak languages.
  • Foreign documents must be translated into the Czech language by a certified translator (in the case of official EU languages a simple translation suffices).
  • Foreign public documents must be additionally verified in accordance with the international agreements (e.g. apostille, superlegalisation, etc.). An overview of the requirements for the verification of foreign public documents can be found here.

Notice

We provide these services to companies located anywhere in the Czech Republic, however, we provide assistance only in the branch office or at the office of the Notary in Hradec Králové or in Prague.

A silent partnership for a surcharge of CZK 2,000 exclusive of VAT – can be concluded either for a limited or for an unlimited period, while the share of the silent partner may be determined in a uniform amount for the entire duration of the silent partnership, or it may be determined at a different level for each year. Its amount must always be agreed upon in advance, however. It is not possible to conclude a silent partnership with the proviso of a certain minimum amount with a high profit representing some kind bonus based on it being a share of the profits. The partner’s share must always represent a share.

The price for the establishment of a Limited Liability Company with registeres office at our adress in Prague 1, Prague 2, Brno, Ostrava for a period of 6 or 12 months with advance payment for the entire period. Founding a company that meets the requirements of our company’s client; after entering it in the Commercial Register we shall transfer the company to the client and file a proposal for the registration of changes in the Commercial Register.

* The price is final; VAT is not added. The price quoted includes the processing and the administrative fees for a set of 80 free trades. With our registered capital it is only possible to found a company with one executive and one partner. Additional partners can be added on the basis of an agreement and at individually established prices. The price for implementing the founding using our capital includes the registered capital in the amount of CZK 200,000. If the client requires a higher registered capital, this is possible, for a supplement of CZK 3,000 exclusive of VAT per each CZK 200,000 tranche.
